Terms of Service

1. Agreement to Terms

By accessing our website, submitting a contact form, or entering into a services agreement with AccTech AI ("Company," "we," "us"), you agree to these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

AccTech AI provides custom technology development, AI advertising management, kiosk system deployment, point-of-sale integrations, e-commerce builds, and related digital services. The specific scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

We reserve the right to decline any project at our discretion.

3. Project Agreements

All client engagements require a signed project agreement or Statement of Work before work begins. The SOW supersedes any conflicting terms on this page with respect to project-specific details (scope, timeline, payment schedule, and ownership of deliverables).

Any changes to project scope must be agreed upon in writing. Out-of-scope work may be subject to additional fees.

4. Payment Terms

Unless otherwise stated in your project agreement, our standard payment structure is:

• 50% deposit due before work begins
• 50% final payment due upon project completion, before final files or credentials are transferred

Invoices are payable within 7 days of issuance unless your agreement specifies otherwise. Late payments may incur a 1.5% monthly interest charge. We reserve the right to pause work on any project with an overdue balance.

5. Intellectual Property

Upon receipt of full payment, you own the custom deliverables we create specifically for your project (design files, source code, copy). We retain ownership of any pre-existing frameworks, tools, libraries, or intellectual property we use to build those deliverables.

We reserve the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.

6. Client Responsibilities

To keep your project on schedule, you agree to:

• Provide required content, assets, credentials, and approvals in a timely manner
• Designate a primary point of contact authorized to make project decisions
• Review and respond to deliverables within the timeframes defined in your agreement

Delays caused by late client feedback or missing assets may extend the project timeline without adjusting the agreed completion date or fee.

7. Revisions and Change Requests

Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond that scope are billed at our current hourly rate. Revision requests must be submitted through the agreed communication channel (typically email or a shared project management tool).

8. Limitation of Liability

To the maximum extent permitted by law, AccTech AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability for any claim related to a project shall not exceed the total fees paid by you for that specific project.

9. Termination

Either party may terminate a project agreement with 14 days written notice. In the event of termination, you are responsible for payment of all work completed through the termination date. Deposits are non-refundable unless AccTech AI is unable to begin work.

10. Governing Law

These Terms of Service are governed by the laws of the State of Minnesota, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in Hennepin County, Minnesota.

11. Changes to These Terms

We may update these Terms from time to time. The current version is always available at acctechai.com/terms-of-service.html. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
